REGULATION

of the Foundation of

SHUSHI UNIVERSITY OF TECHNOLOGY

I. GENERAL

1. The Foundation “Shushi University of Technology” (hereinafter called the “University”) is a non-commercial and non-membership organization established by the Resolution of the Founder.

2. The Founder of the University is the Republic of Artsakh in the name of the Government of the Republic of Artsakh. The state governing authorized body representing the name of the Republic of Artsakh shall be the Ministry of Education, Science, Culture and Sports of the Republic of Artsakh (amended by the resolution of AR Government N863 on 04.08.2021).

3. The University implements its activities according to the Constitution of the Republic of Artsakh, Civil Code of the Republic of Artsakh, Law on Foundations, the Law on Education, Law on Higher and Postgraduate Professional Education, Law on Preschool Education, Law on Vocational and Secondary Professional Education, Law on Scientific and Scientific-technical activity of the Republic of Artsakh, other legal acts and regulations and these Statutes (amended by the resolution of AR Government N863 on 04.08.2021).

4. The name of the University is

1) full name in Armenian is Շուշիի տեխնոլոգիական համալսարան.

2) the abbreviated notation in Armenian is ՇՏՀ.

3) full name in Russian is Фонд “Шушинский технологический университет”.

4) the abbreviated notation in Russian is Фонд “ШТУ”.

5) full name in English is “Shushi University of Technology” Foundation.

6) the abbreviated notation in English is SHUT Foundation.

5. The seat of the University is Shushi, Ashot Bekor 4, the Republic of Artsakh.

II. LEGAL STATUS OF THE UNIVERSITY

6. The University is a legal entity and is considered to be established since the state registration and shall operate permanently.

7. The University can establish branches and representative offices as well as institutions in the Republic of Artsakh and abroad which shall operate under Regulations approved by the Board of Trustees of the University.

8. The University owns separate property which shall be recorded on a separate balance, can implement property and private property rights, take on responsibilities and stand before the court as a plaintiff or a defendant.

9. The University has right to open bank accounts in banks of the Republic of Artsakh and foreign countries in Armenian Drams or/and in foreign currency.

10. All profit gained in the course of activities of the University and all property shall be used to attain statutory objectives.

11. The University in accordance with its Statutes:-

1) uses property allocated by the Founder to the University;

2) owns, uses and possess its property under  property right.

12. The University has a seal with a coat of arms of the Republic of Artsakh and its name, stamps, forms and other identification tools.

13. Rights of the University can be limited only in cases as prescribed by the Law.

14. The Founder assumes no responsibility for liabilities of the University nor the University assumes responsibility for the Founder’s liabilities.

III. OBJECTIVES AND LEGALITY OF THE ACTIVITY OF THE UNIVERSITY

15. As an institution of higher education, the main goal-directed activity of the University is the organization of technological, engineering, agricultural, architectural, design, natural science, economic and other spheres of fundamental and applied scientific research and teaching on the basis of educational programs designed for general education, middle level professional (vocational) education, higher professional, postgraduate professional educational programs and through different educational modes (full time, part time, distant, extramural) defined by laws and other legal acts.

16. The objective of the University activity shall be organization of higher education, general education, middle level professional (vocational) education and postgraduate education through stationary, distant and extramural modes as well as implementation of scientific, scientific-and-production, expertise, research, advisory and publication activities.

17. The main directions of the University activity are:

1) preparation of highly qualified personnel having bachelor’s degree, master’s degree and postgraduate students for technological, engineering, agricultural, natural science, architectural, design, economic and other spheres, as well as research-and-pedagogical personnel, retraining of specialists of higher education, advanced training, training for a new profession, counseling, implementation of postgraduate and additional education;

2) implementation of scientific, research, innovative, design, expertise, consulting, construction, production, engineering supervision, educational-and-methodological and scientific-pedagogical work in the spheres of technology, engineering, agriculture, natural sciences, architecture, design, economic, social science and humanities, organization and running of conferences, exhibitions and exhibition shops;

3) improvement of education content, development and inculcation of new and perspective systems of specialties оn the basis of integration of education, science and consulting;

4) investing the results of scientific developments in the production (amended by the resolution of AR Government N863 on 04.08.2021).

18. The University has the following rights defined by Law to achieve statutory goals and objectives:

1) to freely disseminate information on its activities and to receive necessary information from state and local self-governing bodies and NGOs;

2) to establish branches, institutions, centers, representative offices and establishments;

3) to set up businesses or be a part of businesses;

4) to carry out any activity not limited in cases as prescribed by the Law;

5) to independently involve  investors on a contract basis to expand primary and entrepreneurial activity of the University;

6) to ease out property allocated to the University if it shall not be prohibited by the Founder’s decision. The term of the property lease can not exceed one year – except the case defined by the Founder. Incomes earned from the allocated property rent shall be directed to objectives of the University stated by these Statutes;

7) to develop and approve curricula and syllabi of specialties and specializations for higher education, vocational education and postgraduate professional education, to publish educational and methodological manuals and scientific literature;

8) to establish and grant   honorary titles of the University, prizes, medals and nominal  scholarships;

9) to organize admission and properly teaching of students, postgraduate students, extramural students and learners;

10) to personally carry out the following types of entrepreneurial activities which  are set by the decision of the Board of Trustees of the University:

a) organization of higher education, secondary education, preparatory education, distant education, middle level professional (vocational) education, postgraduate professional education and additional education;

b) organization of preparatory and complete education for foreign applicants;

c) preparation of scientific-pedagogical personnel by organizing their training and raising the level of their professional qualification;

d) carrying out and implementation of research, design, agricultural, innovative, engineering supervision, industrial and construction work;

e) organization of expert activity;

f) organization of consulting activity;

g) implementation of teaching, research and production activity;

h) expansion of publishing, printing activity and realization of products;

i) organization of catering for students and employees;

j) provision of computer and information services and organization and training of computer programs and programming languages;

k) organization of proper accommodation and domestic service for lecturers and students living in the hostel;

l) organization of leisure time for students and employees.

IV. STAKEHOLDERS OF THE UNIVERSITY

19. Stakeholders of the University are individuals and legal entities related to educational, research, scientific and industrial spheres.

V. DUTIES OF THE UNIVERSITY

20.The University is obliged:

1) to act in accordance with the legislation of the Republic of Artsakh, norms of international law and principles as well as these Statutes;

2) to publish annual report on its activities and, if necessary,  conclusion on audit of financial reports in cases defined by Law;

3)  to run clerical operation and accounting by the procedure defined by Law;

4) to submit information and reports to the state bodies in cases and procedure defined by the legislation of the Republic of Artsakh;

5) to ensure accessibility to the  reports noted in  20.4;

6) to perform any other duties not prohibited by Law.

VI. UNIVERSITY BODIES

21. The University carries out its activity through its governing bodies.

22. The University has the following governing bodies:

1) The Board of Trustees of the University (hereinafter referred to as the “Board of Trustees”);

2) The Director of the University (hereinafter referred to as “Rector”).

23. The highest governing and control exercising body of the University is the Board of Trustees which should act for a term of five years and consist of 20 members. The Board of Trustees should be formed by representatives of the academic staff, studentship, the Founder and authorized state governing body (amended by the resolution of AR Government N863 on 04.08.2021).

24. Candidates for membership on the Board of Trustees from the academic staff of the University are nominated by structural subdivisions of the University. Any employee of structural subdivisions of the University may be nominated for membership on the Board of Trustees. Candidates nominated by structural subdivisions of the University are elected at the meeting of Scientific Council and presented to the authorized state governing body. Members of the Board of Trustees elected from the academic staff should form 25 percent of the membership of the Board of Trustees (amended by the resolution of AR Government N863 on 04.08.2021).

25. Candidates for membership on the Board of Trustees from representatives of studentship of the University are nominated by Student Councils of faculties and university branches. Any learner (student or postgraduate student) who shows good progress in studies and has active social position may be nominated from Student Councils for membership in the Board of Trustees. The Student Council of the University elects student-candidates proposed by faculties and represents to the authorized state governing body. Members of the Board of Trustees elected from the studentship should form 25 percent of the membership of the Board of Trustees (amended by the resolution of AR Government N863 on 04.08.2021).

26. The representatives of the Founder in the Board of Trustees are from among high-ranking state officials (25 per cent of the Board of Trustees) (amended by the resolution of AR Government  N59 on 31.01.2018 and N863 on 04.08.2021).

27. The authorized state governing body proposes candidates for membership in the Board of Trustees from among well-known scholars, scientists, cultural workers and businessmen from different spheres as well as employers (25 per cent of the Board of Trustees) (amended by the resolution of AR Government N863 on 04.08.2021).

28. The Government of the Republic of Artsakh shall approve the proposed membership of the Board of Trustees presented by the authorized state governing body (amended by the resolution of AR Government N59 on 31.01.2018).

29. Every competent person of the age of eighteen may be elected as a member of the Board of Trustees who cannot be a member of another body of the University.

30. The Board of Trustees elects the chairman of the Board of Trustees by voting of the majority besides student representatives from among its composition.

31. Members of the Board of Trustees have the right:

1) to submit proposals on agenda of meetings and matters of discussions;

2) to prepare and submit to the Board of Trustees questions, suggestions and project decisions;

3) to receive information to any issue concerning activities of the University;

4) to receive compensation of incurred expenses conditioned by implementation of his/her duties.

32. Members of the Board of Trustees have the duties:

1) to attend meetings of the Board of Trustees;

2) to act in favor of  the University while performing their duties.

33. The Board of Trustees has the following rights:

1) to approve annual and long term strategic plans of the university;

2) to define types of entrepreneurial activity of the University (including personal);

3) to approve the decision on the budget of the University and its changes, annual financial statements and annual report on the University activities and annual balance;

4) to make decision on establishment of business companies or participation  in such companies as well as creation of separate subdivisions and institutions and statement of their regulations;

5) to supervise activities of the University including financial activity and election of an Auditor to audit financial statements;

6) to approve the report on implementation of educational, scientific-topical projects and participation in large research programs, projects and in other formats of cooperation and presenting reports on their results;

7) to make decisions on early termination of  powers of  members of the Board of Trustees;

8) to make decisions on organization of elections of  the Chairman of the Board of Trustees, Rector and other bodies defined by these Statutes and early termination of their powers before the expiration of stated period of time;

9) to form other bodies foreseen by this Statutes;

10) to attend the Rector’s annual report;

11) to prevent or abolish Rector’s orders, instructions, and directions which contradict legislation of the Republic of Artsakh;

12) to take control over implementation of his/her  decisions;

13) to make decision on trial to abolish the  University;

14) to appoint the commission to abolish University, to set a procedure and terms of abolishment and to approve abolishing balance and mid term  balance;

15) to approve structure of the University;

16) to approve the staff list of the University;

17) to approve submission to the founder on making amendments and additions to the Statutes of the University,  alteration of the Statutes and the new revised Statutes;

18) to approve the order of ownership of the University property;

19) to exercise powers specified by Law and these Statutes, as well as powers of other bodies of the Foundation not prescribed by Law.

34. Matters related to the power of the Board of Trustees can not be vested in another body.

35. The Board of Trustees has access to all documents of the University.

36. The Board of Trustees acts through meetings. Meetings of the Board of Trustees is called by the Chairman of the Board of Trustees at least once a year. Meetings of the Board of Trustees shall also be called and held by the request of at least one third of the members of the Board of Trustees within 30 days after the request was submitted by the chairman. Meetings of the Board of Trustees can be carried out by electronic mail or other means of communications as well as by questioning. Resolutions are approved in accordance with the procedure prescribed by Law. If the chairman of the Board does not call a meeting within a stated time, then the meeting can be called by the members who want it. A meeting of the Board of Trustees can be legal if there is a quorum. More than one-half of the total membership makes quorum. Each member of the Board of Trustees has one (1) vote. If any matter related to a member of the Board of Trustees or his/her  personal property or other interests is discussed at the meeting of the Board of Trustees then that member shall not take part in voting.

37. The Chairman of the Board of Trustees has the following powers:

1) to organize the activity of the Board of Trustees (if  needed to establish timely committees  of the Board of Trustees), to supervise (verify and inspect) over financial activities of the University foreseen by these Statutes and carry out preliminary discussions of matters provided for under Statute 33. 3, 4, 17 and 18 to submit conclusions (references) to the Board of Trustees;

2) to call meetings of the Board of Trustees and preside at meetings;

3) ) to note the agendas of all meetings of the Board of Trustees;

4) to present a draft resolution on dissolving of powers of members of the Board of Trustees to be discussed at the Board of Trustees in cases foreseen by legislation and these Statutes;

5) to sign a work contract with the Rector on behalf  of the University.

38. If the Chairman of the Board of Trustees is absent his/her functions shall perform one of the members of the Board of Trustees by decision of the Board of Trustees.

39. The Rector of the University controls current activities of the University. The Rector organizes implementation of the resolutions of the Board of Trustees.

40. Powers and responsibilities of the Rector are stated by Law, these Regulations and his job contract.

41. The Rector of the University has the following powers:

1) to control the property (including funds) of the University and sign contracts on behalf of the University;

2) to represent the University in the Republic of Artsakh and abroad;

3)  to speak in public on behalf of the University without authority;

4) to give authority;

5) to appoint and release vice rectors and  sign their job contracts;

6) to form advisory bodies at the Rector and appoint their membership and powers;

7) to sign contracts amounting to  20.000.000 Armenian Drams or equivalent to its foreign currency. Contracts exceeding the above mentioned amount should receive approval by the Board of Trustees;

8) to implement functions of executing-instructing;

9) to open bank accounts (including foreign currency) and other accounts;

10) to do everyday work foreseen to implementation of the resolutions of the Board of Trustees;

11) to submit to the Board of Trustees for approval the working regulation of the University, institutions and business companies established by the University, administrative structure and staff list of the University;

12) to employ and release the staff of the University including heads of subdivisions, institutions and employees therein of the University and to sign respective job contracts in prescribed order;

13) to issue orders and instructions within the framework of his/her powers, to give directives mandatory for implementation and take control over them;

14) to apply encouragement and disciplinary measures over employees;

15) to submit an annual  report on activities of the University to the Board of Trustees.

42. Every adult competent citizen having academic degree of Doctor of Science or PhD and/or academic title of Professor or Docent shall be eligible to be elected as Rector of the University.

43. The Rector shall be elected by secret voting at the meeting of the Board of Trustees for a five-year term.

44. The same person may not be elected for more than two consecutive terms.

45. A person may not be elected as Rector if:

1) he/she was convicted for a crime, whose previous conviction has not been expunged by amnesties or quitted by order established by Law;

2)  his/her right to hold an executive positions is deprived by Law;

3) he/she has been holding  executive post of a declared bankrupt and liquidated  organization which failed to satisfy legal demands of  money-lenders in the last three years.

46. Powers of a person elected as a Rector are terminated by the Board of Trustees if:

1) he/she resigns from office by reporting addressed to the Board of Trustees;

2) he is  elected or appointed to another position by his written agreement or if he changed his job which is not compatible with his current post;

3) more than four months he/she continuously did not report for work  due to temporary disability;

4) on the basis of a court decision he/she is considered legally incapable, limited incompetent,  lost for a long time  without any notice or dead;

5)  one of the cases stated in 45 point of the Regulation is noted.

47. Rectorate of the University is an advisory body. In a period between meetings of the Scientific Council of the University Rectorate office shall discuss matters related to all spheres of the University activities according to the Regulations and authority. Rectorate consists of the following people: the Rector, Vice-Rectors, the head of staff, head of Academic Department, chief accountant, directors of branches, institutions and centers, deans of faculties as well as lecturers, employees, representatives of the Students Council appointed by the Rector.

VII. THE SCIENTIFIC COUNCIL OF THE UNIVERSITY

48. The Scientific Council of the University (hereinafter referred to as Scientific Council) shall be formed in accordance with these Statutes and shall be a collegial body for planning, coordinating and regulating educational-methodological, scientific, research and scientific-technological activities.

49. Scientific Council includes the Rector (chairman), Vice-rectors, scientific secretary, chairman of student’s council, head of educational and methodological department, head of staff, chief accountant, directors of branches and centres as well as members appointed by the Rector – heads of other structural subdivisions, some lecturers and scientific workers, leading researchers and representatives of the university students. The number of appointed members shall not exceed 50 per cent of the total membership of Scientific Councils. The number of students shall not be less than 25 percent of total membership of the council (amended by the resolution of AR Government N863 on 04.08.2021).

50. Other members of Scientific Council are elected from corresponding structural subdivisions according to the order prescribed in the regulations of Scientific Council.

51. The meeting of Scientific Council is authorized if the quorum constitutes 2/3 of the total actual membership of the Council. Decisions are taken by simple majority and open vote if no decision for secret vote is taken.

52. The Scientific Secretary is appointed by the Rector.

53. Meetings of the Scientific Council should be held once each month of the academic year as a rule. Extraordinary meetings may be called in accordance with established order.

54. The Scientific Council of the University shall:

1) approve its regulation and work procedures;

2) discuss  and submit  to the Rector and the Board of Trustees  suggestions on principal directions, subject-matters and education and  research curricula,  preparation of researchers, international educational and scientific cooperation issues and programs;

3) discuss  and submit  suggestions on establishing new subdivisions and  approve  regulations of structural subdivisions  except subdivisions specified in Statute 33.4;

4) discuss and make recommendations on publication of monographs, proceedings etc;

5) discuss topical issues of education and science development, attend scientific reports and make corresponding decisions;

6) discuss principal and perspective directions of educational and scientific activities,  accept reports on results attained by implementation of most important research and scientific and methodological work;

7) take decisions on implementation of curricula of new specialties and submit them to the state governing authorized body of education to approve;

8) establish and award  honorary degrees of doctor and professor of the university, give prizes, nominate grants and medals of the university;  discuss and approve election procedures for deans, chairs and teaching staff;  organize secret   elections for vacant offices of deans, chairs, professors and docents by voting;

9) carry out other authorities related to educational, methodological, research and organizational activities set by these Regulation.

VIII. AMENDMENTS TO THE  REGULATION

55. Amendments to the Regulation may be done by initiative of the founder of the university or suggestion of the Board of Trustees of the university as prescribed by law. The amendments in these Regulation may not pertain to the goals of the University or to stakeholders.

IX. ACTIVITIES OF THE UNIVERSITY

56. The University independently plans its activities, develops advancement perspectives and takes decisions on its activities.

57. The University implements its relations with other physical persons and legal entities on contractual base.

58. The University independently chooses subjects and terms of agreement to negotiate with and sign.

59. The University has the right to take any decision not contradicting the legislation of the Republic of Artsakh by its own initiative in implementing its statutory activities.

60. The University carries out entrepreneurial activity only in case when it corresponds and/or serves to achieve its statutory objectives. The University may carry out entrepreneurial independent activity or establish business companies or be partner of them. Kinds of entrepreneurial activity carried out by the University are defined by the decision of the Board of Trustees of the University.

61. The University has a separate property as ownership and is responsible by that property against its liabilities.

62. The property owned by the Founder assets to the University as its investment and is University ownership, the University may use that property in accordance with the procedure defined by its Statutes if other decision was not taken by the Founder.

63. Property that the University acquired by its own funds and by other sources prescribed by law is ownership of the University. The University uses that property as defined by its Statutes.

64. Any property including stocks, funds, securities and intellectual property rights as property investment voluntarily made by other citizens and organizations is ownership of the University.

65. Transactions exceeding 20 percent of the University total assets allocated for use are conducted having the consent of the Government of the Republic of Artsakh.

66. The ownership of the University cannot be used in favour of members of the University bodies as well as employees of the University except salary of employees and expenses subject to compensation conditioned by doing duties of members of the University administration as well as those cases when the Founder of the University, members of the University bodies and employees of the University are stakeholders foreseen by these Statutes.

67. Raised funds may be spent only for the purpose stated in advance.

X. ORGANIZATION AND FINANCING OF TEACHING AND SCIENTIFIC RESEARCH PROCESS AT THE UNIVERSITY

68. Higher professional education is carried out at the University offering undergraduate and graduate academic programs, post-graduate professional education and research programs. The University implements also preschool, secondary (high school), professional (vocational) as well as extra curriculum academic programs.

69. Basic educational programs of higher and postgraduate education at the University is implemented through full time, part time, distant, extramural and extern modes of education. Development of combination of different instruction modes for receiving higher and postgraduate education is permitted.

70. Admission to the undergraduate level of the University is conducted upon applications of people having at least secondary (full) general education, upon the competitive principles according to the procedure and list of specialties defined by legislation of the Republic of Artsakh.

71. Information about the University which is necessary for applicants including proper forms of contract to be signed with the student is posted on the official site of the University.

72. Admission to the University magistracy is conducted taking into consideration the applicant’s marks received during studying in the baccalaureate by procedure approved by the Scientific Council.

73. Admission to the University postgraduate level is conducted on the basis of the results of competitive admission examinations taken by the graduate or certified specialist – in accordance with the procedure and the list of specialties defined by the legislation of the Republic of Artsakh.

74. Preparation of scientific human resources may also be carried out on the basis of extramural mode.

75. In case of preparation of a dissertation for acquiring a PhD the scientific degree curriculum foreseen for the third level of higher education is a must. Maximum five-year term period is allocated to extramural students for preparing a thesis,  taking qualification exams and complete the thesis. Those who completed full term of being extramural students have not the right to be accepted of the same specialty for the second time.

76. The period of preparing doctoral dissertation scientific effort of extramural students shall not be limited in any way. А person working for a scientific degree of Doctor of Science  may also     prepare the thesis in the doctoral school. Papers concerning the latter shall be drawn up in accordance with procedure defined by the legislation of the Republic of Artsakh.

77. Scientific degrees are granted by specialized councils on the basis of the defense of the thesis at the university. Specialized councils are established and function in accordance with the legislation of the Republic of Artsakh and procedure prescribed by the authorized body.

78. Teaching on secondary education programs at the University is organized by the University subdivisions (high schools) implementing general education programs.

79. Teaching on middle level vocational programs is organized by University subdivisions (colleges) acting within the University and carrying out middle professional educational programs.

80. Learners of the University taking higher and middle level professional courses will be given student card and record books.

81. Learning of foreign citizens and people without citizenship shall be implemented on a chargeable basis according to the procedure prescribed by the government of the Republic of Artsakh.

82. Learning process is organized in two semesters in each academic year. Each semester ends with examinations at the University. For each academic program standard duration of educational process, the beginning and the end of the academic year is determined in accordance with state educational standards.

83. The following basic teaching activities is defined at the University: lecture, seminar, practical work, laboratory work, consultation, educational and field practice, independent work of the student as well as acquiring practical skills at educational-experimental facilities.

84. The content and directivity of teaching shall differ according to specialties the list of which for each basic educational program is approved by the Government of the Republic of Artsakh.

85. Organization of teaching process for each specialty is regulated by curriculum which prescribes distribution of the contents of the corresponding academic program in accordance with teaching years, courses and subject matters.

86. Curricula and courses of specialties and specializations offered by the University recommend learning process for learners in different educational stages (access and exit to educational program) providing academic credits accumulation, transfer and granting of qualification degrees.

87. The University forms curricula in accordance with state educational standards which is approved by the Scientific Council and submitted to the authorized body.

88. Subject matters (courses) are classified into two groups according to their importance – mandatory courses and selected ones.

89. The aim, content, logical sequence, interconnection, recommended literature, distribution of amount of hours allocated by syllabi in accordance with the instruction forms and examination requirements are defined by course programs which is approved by the Vice-rector of academic affairs by submission of corresponding chair.

90. All subjects foreseen by a curriculum should be graded based on procedure approved by the Scientific Council.

91. Students of the University who successfully fulfilled requirements of the curriculum are permitted to participate in final state certification carrying out on the basis of diploma (final) work including defense of a Master’s thesis. A diploma work can be performed by a creative team. The procedure of creating such teams, their diploma work, defense and assessment is approved by the Scientific

92. The right of defending a diploma (final) work, including master’s thesis is presented in learner’s studying curriculum who studied all program and is certified foreseen by specialization curriculum of all subjects and required practical training.

93. Learners who completed learning on higher and postgraduate professional academic programs and passed the final state certification are awarded and handed a final document (diploma) confirming the respective qualification degree and the relevant supplement by a defined procedure.

94. Qualification, specialty (specialization), curricula and study courses are indicated in diploma. The standard form of the diploma is defined by the legislation of the Republic of Artsakh.

95. Learners not having completed the full academic program are given academic reference of approved sample.

96. Learners having completed academic program of additional professional education and passed the final attestation are awarded the graduation document (certificate) of approved University sample.

97. Transfer from one study level to another one is performed in accordance with the procedure prescribed by the legislation of the Republic of Artsakh.

98. Receiving higher professional education of different levels for the first time will not be considered as receiving second higher professional education.

99. The University shall organize and run conferences, exhibitions, seminars, workshops, meetings, symposiums, athletic games and championships.

100. Planning, financing and submitting a report on research, design, experimental and other work implemented by the state budget of the Republic of Artsakh is performed as defined by the legislation of the Republic of Artsakh.

101. Lecturers, scientific workers, postgraduate students, researchers, extramural students, students as well as other employees of the staff and other invited people on contractual bases may participate in research, design, industrial and experimental work.

102. To assure higher and postgraduate professional academic quality the University should organize internal and external assessment process, publish quality evaluation and/or accreditation standards, quality assurance and/or conclusions of accreditation performing organization. External evaluation process may also be carried out by a respective foreign agency.

103. Teaching and research activities of the University are organized on the basis of the University progress requirements set out in the strategic plan of the University.

104. Educational and scientific activities of the University are financed from the following sources:

1) the state budget of the Republic of Artsakh;

2) income from entrepreneurial activity of the University;

3) donations;

4) funds allocated by benevolent organizations;

5) means foreseen for entrepreneurial research;

6) other sources of funds not prohibited by the legislation of the Republic of Artsakh.

XI.THE STRUCTURE OF THE UNIVERSITY

105. The structure of the University is defined by the decision of the Board of Trustees.

106. Independent educational structural subdivisions of the University are institutes, faculties, centres, chairs, colleges, schools, stations and educational experimental bases.

107. Regional branches are separate subdivisions of the University.

108. The institute of the University is a large structural subdivision which organizes educational and methodological and/or research activities. The institute carries out its activities under the regulation of the University and its regulations.

109. The Faculty of the University (branch, institute) is a basic subdivision which organizes educational and methodological and scientific research activities. The Faculty carries out preparation of specialists in one or more than one adjacent specialties and/or learning of individual components of general education and carries out its activities under the regulation of the University and its regulations.

110. The Faculty is established, reorganized and dissolved by proposal of the Scientific Council and decision of the Board of Trustees of the University.

111. The Faculty has chairs, laboratories and teaching, research and other auxiliary units. Governing bodies of the faculty are the faculty council and Dean of the faculty.

112. The collegial governing body of the Faculty is the Council of the Faculty head of which is the Dean. Vice-deans, faculty chairs, chairman of the Student Council, leading professors, docents, other specialist of the sphere and students are included there. Number of students in the council should not be less than 25 percent of the total membership of the Council.

113. The Faculty Council, as an authority, its membership, order of formation and activity are set up by the regulation of the Faculty.

114. The Faculty Council shall:

1) discuss the regulation of the Faculty  and submit to the Scientific Council of the university for approval;

2) submit conclusion on candidates for participating in a competitive election for the post of the faculty dean and chairs;

3) submit proposals to the Scientific Council on establishing, reorganizing and dissolving chairs (laboratories, divisions) and other structural subdivisions in the staff of the Faculty;

4) hear annual reports of the dean and evaluate his/her activities;

5) submit curriculum of the Faculty for approval by the Scientific Council;

6) elect the Faculty representatives in the membership of the Scientific  Council of the University;

7) solve other issues related to educational and methodological, scientific and research  activities of the Faculty according to its regulation.

115. Decisions of the faculty council are signed by the Dean of the Faculty. Records of  all meetings  should be kept.

116. The meeting of the faculty council is legal to be held if the quorum constitutes 2/3 of the total actual membership of the faculty council. Decisions are taken by simple majority of members of the Council present at the meeting. Decisions of the Council are mandatory for the leadership, employees, students, postgraduate students, doctoral students and extramural students.

117. The Dean of the Faculty organizes and implements its activity in accordance with these Statutes.

118. The Dean of the Faculty is elected by the Scientific Council of the university by secret voting for a five-year term. On the basis of election results the Rector appoints the Dean for the office. The election of the Faculty Dean is organized and implemented by the Scientific Council of the University in accordance with the approved regulation for the Faculty Dean election.

119. The Dean of the Faculty shall:

1) be in charge of educational, research, industrial, international and other activity of the Faculty;

2) ensure implementation of the University Scientific Council , the council of the Faculty and the Rector’s office decisions;

3) submit to the Rector’s approval nominees for the deputy dean(s) and secretary of the Faculty Council.

120. In the period between meetings of the Faculty Council current issues are discussed and solved at the Dean’s office which is independent body headed by the Dean.

121. The Chair is teaching and research structural subdivision of the Faculty, acting according to these Statutes and regulations approved by the Scientific Council.

122. The Chair is headed by the Chair elected by a secret vote for a five-year term. The Rector appoints the elected candidate on the results of elections. The election of the Chair is organized and performed according to the regulation on election of the Chair approved by the Scientific Council of the University.

XII. THE EMPLOYEES OF THE UNIVERSITY

123. Rights and duties of the University employees are defined by the legislation of the Republic of Artsakh and these Statutes. There should be academic staff (professor, docent, assistant, senior lecturer, lecturer) and scientific workers, workers of engineering, technical, administrative, industrial (regular, seasonal, temporary) and supportive staff and employees of other ranks in the University.

124. Employees of the University have the following duties:

1) to elect and be elected in the Board of Trustees, Scientific Council of the University, in councils of faculties and other bodies and posts of the University in accordance with the procedures defined by these Statutes of the University and regulations of educational subdivisions;

2) to unite into trade unions and other non-governmental organizations;

3) to use academic, scientific, research, social-and-living services of such subdivisions and research library.

125. Teaching staff, scientific workers and students have academic freedom.

126. Favourable conditions are established for scientific-pedagogical staff, students, postgraduate students, doctoral students and extramural students, for free description and dissemination of research and investigations, scientific thoughts, ideas and obtained results within the limits of allocated funds to achieve the objectives set.

127. Employees have the following duties:

1) to maintain work and obey inner discipline rules and other requirements of the University prescribed by the legislation of the Republic of Artsakh and these Statutes;

2) to follow decisions of the University leading bodies;

3) to ensure effectiveness of educational process and carried out research;

4) to permanently raise their professional qualification;

5) to protect and manage the University property carefully and effectively;

6) to participate in counseling activities.

128. Scientific-pedagogical employees have the right:

1) to be engaged in organizing their professional activity and acquiring of material facilities;

2) to choose and develop research topics by their own initiative according to research academic freedom principles;

3) to freely define contents curriculum and syllabi according to state educational standards;

4) to freely choose methods, methodology and facilities of teaching based on their individual preference to provide high quality of the teaching process;

5) to combine research, pedagogical and other kinds of jobs.

129. Learners of the University are people and high school students enrolled in the University for receiving professional, higher and postgraduate as well as extra curriculum education.

130. Graduate student of the University is a person who has four-year (undergraduate) or five-year (certified specialist) higher education and who has been admitted to the university on the condition of at least one-year learning time on the basis of a stated competitive order.

131. Postgraduate student of the University is a person who has higher professional education and continues education in post graduate level and prepares a thesis with the purpose of requiring a scientific degree of Candidate of Sciences.

132. Doctoral student of the University is a person who has a scientific degree of Candidate of Sciences and has applied for preparing a thesis with the purpose of requiring a scientific degree of a Doctor of Sciences.

133. Extramural student of the University is a person who has higher professional education and prepares a thesis with the purpose of requiring a scientific degree of a Candidate of Sciences without studying in the postgraduate level or a person who has a scientific degree of Candidate of Sciences and prepares a thesis with the purpose of requiring a scientific degree of a Doctor of Sciences.

134. Listeners of the University are persons who take part in courses through extramural mode of study and also lecturers and scientific workers who raise their qualifications through trainings.

135. Rights and duties of learners of the high school of the University and the middle professional education system (college) are specified by regulations of the high school and college according to legislation of the Republic of Artsakh.

136. Students of the University have the following rights:

1) to receive knowledge on modern level of development of science, technology and culture;

2) to attend all lectures delivered at the University;

3) to participate in students research activities according to preferences;

4) to participate in activities designed to ensure quality of education and assess efficiency of teaching staff activity;

5) to use the University library, laboratories, sport and recreational facilities, cultural and academic clubs;

6) to combine basic professional learning with a second or additional professional learning and receive two professional qualification degrees according to a program approved by the state governing authorized body;

7) to create student NGOs to solve issues related to students life;

8) to be included in governing bodies of  the University and its subdivisions;

9) to appeal against orders and instructions issued by the leadership of  the University in accordance with  procedure  prescribed in legislation of the Republic of Artsakh;

10) to enjoy the right of partial or total compensation of educational fee in accordance with legislation of the Republic of Artsakh. To receive  scholarship, grant as well as student credit  assigned by legal entities or physical persons in accordance with the defined procedure;

11) to be acquainted with the present Statutes and normative documents;

12) to receive up to one-year academic holiday  in accordance with the procedure established by legislation in case of need;

13) to receive hostel accommodation in accordance with the established procedure if needed.

137. Students of the University have the following duties:

1) to fulfill all study assignments in the stated time;

2)  to possess knowledge and skills necessary for a future specialist of high qualification;

3) to observe the internal discipline rules;

4) to attend all classes foreseen by the curriculum;

5) to pay education fee in stated time in case if education is chargeable.

138. Students of the University who do not fulfill scheduled assignments foreseen by curriculum and show unsatisfactory academic progress, violate public order and inner disciplinary rules, do not pay education fees in case of chargeable education may be subject to disciplinary measures or even excluded from the University. It is prohibited to dismiss the student in case of illness, during vacations, academic vacation or pregnancy and maternity holiday.

139. Learners at a higher educational institution may unite in student councils, student scientific societies and other student organizations.

140. The Student Council is a self-governing body of students of the University and represents interests of students. It provides participation of students in respective governing bodies of the University and submits students matters to discussion. The manner of the formation of Student Council and its functioning is established by the Regulation of the Student Council approved by the Scientific Council of the University (amended by the resolution of AR Government N863 on 04.08.2021).

141. Society of young scientists and specialists may be founded in the University involving in student scientific organization. The Regulation of formation and activity of the society is approved by the Scientific Council of the University (amended by the resolution of AR Government N863 on 04.08.2021).

XIII. CONTROL OVER ACTIVITIES AND PUBLICITY OF THE UNIVERSITY

142. Authorized state bodies control over activities of the University.

143. Control over implementation of the University requirements prescribed by the Law on Foundations of the Republic of Artsakh carries out the Ministry of Justice of the Republic of Artsakh and also other authorized state bodies according to their powers in case defined by the law. Financial activities of the University is checked by an independent Auditor at least once a year. After demand of one-third of the total membership of the Board of Trustees an extraordinary annual audit may be performed. An independent auditor shall be elected and approved by the Board of Trustees of the University on the basis of the contest.

144. Not late than the 25th of March of each year following the reporting year the University shall be obliged to publish:

1) a report on its activities. The report should contain information on implemented programs, sources of funds, total amount of used means in the previous reporting year, names of the members of the Board of Trustees, the Rector and the University staff members  if in the reporting year they used the University funds and services;

2) the conclusion drawn up by the Auditor on the financial statements.

XIV. REORGANIZATION AND DISSOLVING OF THE UNIVERSITY

145. The Foundation may be reorganized only by joining or connecting with another foundation.

146. The University may be reorganized by decision of the Founder’s order in accordance with procedure defined by law.

147. Dissolving of the University is ceasing of its activities without conveying its powers and responsibilities to another person on the basis of assignment.

148. Decision on dissolution of the University may take only the court on the basis of an application from interested people. As an interested person may act the Board of Trustees in the name of the University.

149. The University may be dissolved if:

1) the property of the University is not enough to fulfill its activities and possibility of acquiring necessary property is not realistic;

2) the University has been deviated from goals foreseen by  its Statutes;

3) it is impossible to attain the objectives of the University and to change the approved objectives;

4) the activity of the University endangers the state and public security, breaks peace, health and habits of society, violates others’ rights and freedoms;

5) the University rudely and repeatedly violates Law or periodically carries out activity contrary to its statutory objectives;

6) the Founder had cruelly violated Law and made falsifications while establishing the University.

150. The University may also be dissolved in other cases foreseen by legislation of the Republic of Artsakh.

151. The University may be dissolved by an order prescribed by Law.

152. After meeting the demands of creditors as well as in case when midterm balance of the university has no liabilities to creditors at the moment of approving the dissolution, the property is directed to the purposes foreseen by the Statutes of the University and in case the latter is impossible the property is conveyed to the state budget of the Republic of Artsakh.
