STATUTES

of the Foundation

SHUSHI UNIVERSITY OF TECHNOLOGY

I. GENERAL

  1. The Foundation “Shushi University of Technology” (hereinafter called the “University”) shall be a non-commercial and non-membership organization established by the Resolution of the Founder.
  2. The Founder of the University shall be the Republic of Nagorno-Karabakh in the name of the Government of the Republic of Nagorno-Karabakh. The state governing authorized body speaking in public in the name of the Republic of Nagorno-Karabakh shall be the Ministry of Education, Science, and Sports of the Republic of Nagorno-Karabakh.
  3. The University shall carry out its activities under the Constitution of the Republic of Nagorno-Karabakh, Civil Code of the Republic of Nagorno-Karabakh, Law on Foundations of the Republic of Nagorno-Karabakh, Law on Education of the Republic of Nagorno-Karabakh, Law on Higher and Postgraduate Professional Education of the Republic of Nagorno-Karabakh, Law on Preschool Education of the Republic of Nagorno-Karabakh, Law on Preprofessional (vocational) and Secondary Professional Education of the Republic of Nagorno-Karabakh, Law on Scientific and Scientific-technical activity of the Republic of Nagorno-Karabakh, other legal acts, and these Statutes.
  4. The name of the University shall be

1) full name in Armenian is Շուշիի տեխնոլոգիական համալսարան.

2) the abbreviated notation in Armenian is ՇՏՀ.

3) full name in Russian is Фонд “Шушинский технологический университет”.

4) the abbreviated notation in Russian is Фонд “ШТУ”.

5) full name in English is “Shushi University of Technology” Foundation.

6) the abbreviated notation in English is SHUT Foundation.

5. The seat of the University is Shushi Town, Ashot Bekor 4, Nagorno-Karabakh Republic.

II.LEGAL STATUS OF THE UNIVERSITY

6. The University shall be a legal entity, and shall be considered established from the moment of the state registration and  shall operate permanently.

7. The University can establish branches and representative offices, as well as institutions in the the Republic of Nagorno-Karabakh and abroad which shall operate under Regulations approved by the Board of Trustees of the University.

8. The University shall own isolated property which shall be recorded on a separate balance,can sui jurisacquire and excercise tangible and personal intangible rights, take on responsibilities, appear before the courtas a plaintiff or a defendant.

9. The University shal have the right to open bank accounts in banks of the Republic of Nagorno-Karabakh and foreign countries in Armenian Drams or/and foreign currency.

10. All profit made in the course of activities of the University and all property shall be used to attain statutory objectives.

11. The University in accordance with its Statutes:-

1) shall use property allocated by the Founder to the University;

2) shall own, use, and take possession its property under  property right.

  1. The University shall have a seal with a coat of arms of the Republic of Nagorno-Karabakh and its name, stamps, forms, and other identification tools.
  2. Rights of the University can be limited only in cases as prescribed by the Law.
  3. The Founder assumes no responsibility for liabilities of the University nor the University assumes responsibility for the Founder’s liabilities.

III. OBJECTIVES AND  POWERS OF THE UNIVERSITY ACTIVITY

  1. The main goal-directed activity of the University, as an institution of higher education, shall be organization of technological, engineering, agricultural, architectural, design, natural science, economic and other spheres of fundamental and applied scientific research and teaching on the basis of educational programmes designed for general education, middle level professional (vocational) education, higher professional, postgraduate professional educational programmes and through different educational modes (stationary, distant, extramural) defined by laws and other legal acts.
  2. The objective of the University activity shall be organization of higher education, general education, middle level professional (vocational) education, and postgraduate education through stationary, distant, extramural modes, as well as implementation of scientific, scientific-and-production, expertise, research, advisory and publication activities.
  3. The main directions of the University activity shall be:

1) preparation of highly qualified personnel having bachelor’s degree, master’s degree, and postgraduate students for technological, engineering, agricultural, natural science, architectural, design, economic and other spheres, as well as research-and-pedagogical personnel, retraining of specialists of higher education, advanced training, training for a new profession, counseling, implementation of postgraduate and additional education,

2) implementation of scientific, research, innovative, design, expertise, consulting, construction, production, engineering supervision, educational-and-methodological, and scientific-pedagogical work in the spheres of technology, engineering, agriculture, natural sciences, architecture, design, economic, social science, and humanities, organization and running of conferences, exhibitions, exhibition shops.

3) improvement of education content, development and inculcation of new and perspective systems of specialities оn the basis of integration of education, science, and consulting.

4)commissioning of research results.

  1. The University to achieve statutory goals and objectives shall have the following rights defined by Law:-

1) to freely disseminate information on its activities, to receive necessary information from state and local self-governing bodies, NGOs;

2) to establish branches, institutions, centres, representative offices, establishments;

3) to build businesses or be a part of businesses;

4) to carry out any activity not limited in cases as prescribed by the Law;

5) to independently draw in investors on a contract basis to expand primary and entrepreneurial activity of the University;

6) to ease out property allocated to the University if it shall not be prohibited by the Founder’s decision. The term of the property lease can not exceed one year – except the case defined by the Founder. Incomes earned from the allocated property rent  shall be directed to designed by these Statutes objectives of the University;

7) to develop and approve curricula and syllabi of specialities and specializations for higher education, middle level professional (vocational) education, and postgraduate professional education, publish educational-and-methodological manuals and scientific literature;

8) to establish and grant   honorary titles of the University, prizes, medals, and special scholarships;

9) to organize admission and properly teaching of students, postgraduate students, extramural students, and learners;

10) to personally carry out the following types of entrepreneurial activities which shall be set by the decision of the Board of Trusties of the University:

a) organization of higher education, secondary education, preparatory level education, distant education, middle level professional (vocational) education, postgraduate professional education, and additional education;

b) organization of preparatory and all-level education for foreign applicants;

c) preparation of scientific-and-pedagogical personnel, their training and raising the level of their professional qualification;

d) carrying out and realization of research, design, agricultural, innovative, engineering supervision, industrial, construction work;

e) organization of expert activity;

f) organization of consulting activity;

g) implementation of teaching, research and production activity;

h) expansion of publishing, printing activity and realization of products;

i) organization of catering for students and employees;

j) provision of computer and information services and organization and training of computer programmes and programming languages;

k) organization of proper domestic service for teachers and students living in the hostel;

l) organization of students and employees leisure.

IV. STAKEHOLDERS OF THE UNIVERSITY

19. Stakeholders of the University shall be natural persons and legal entities related to educational, research, scientific, industrial spheres.

V. DUTIES OF THE UNIVERSITY

20.The University shall be obliged:

1) to act in accordance with the legislation of the Republic of Nagorno-Karabakh, norms of international law and principles, as well as these Statutes;

2) to publish annual report on its activities, and in case defined by Law, and conclusion on carried out financial reports’ audit;

3)  to run clerical operation and accounting by the procedure defined by Law;

4) to submit information and reports to the state bodies in cases and procedure defined by the legislation of the Republic of Nagorno-Karabakh;

5) to ensure accessibility to the  reports noted in the Clause 20.4;

6) perform any other duties not prohibited by Law.

VI. UNIVERSITY BODIES

21. The University shall carry out its activity through its bodies.

22. The University shall have the following bodies:

1) The Board of Trustees of the University (hereinafter referred to as the “Board of Trustees”); 2) The Director of the University (hereinafter referred to as “Rector”)

  1. The highest governing and control exercising body of the University shall be the Board of Trustees which shall be established for a term of five years and shall be composed of 20 members. The Board of Trustees shall be  formed by representatives of the teaching staff, student body, the Founder, authorized state governing body.
  2. Candidates for membership on the Board of Trustees from the teaching staff of the University shall be nominated by structural subdivisions of the University. Any employee of structural subdivisions of the University may be nominated for membership on the Board of Trustees. Candidacies of persons nominated by of the University shall be elected at the Academic Council meeting and presented to the  authorized state governing body. Members of the Board of Trustees elected from the teaching staff shall form 25 percent of the Board of Trustees.
  3. Candidates for membership on the Board of Trustees from representatives of student body of the University shall be nominated by student councils of faculties and branches. Any learner (student or postgraduate student) who will show good progress in studies and active social position may be nominated from student councils for membership on the Board of Trustees. The Student Council of the University shall elect student-candidacies proposed by faculties and represent to the authorized state governing body. Members of the Board of Trustees elected from the students shall form 25 percent of the Board of Trustees.
  4. The Prime Minister of the Republic of Nagorno-Karabakh in the name of the Founder shall propose candidates for membership on the Board of Trustees from among high-ranking officials (25 per cent of the Board of Trustees).
  5. The authorized state governing body shall propose candidates for membership on the Board of Trustees from among well-known educationalists, scientists, cultural workers, and business people from different spheres as well as employers (25 per cent of the Board of Trustees).
  6. The Prime Minister of the Republic of Nagorno-Karabakh, by presentation of the authorized state governing body, shall approve the proposed composition of the Board of Trustees.
  7. Every competent natural person having attained the age of eighteen years may be elected as a member of the Board of Trustees who cannot be a member of another body of the University.
  8. The Board of Trustees from among its composition, besides student representatives, shall elect the chairman of the Board of Trustees by majority vote.
  9. Members of the Board of Trustees shall have the right:

1) to submit proposals on agenda of meetings and matters of discussions; 2) to prepare and submit to the Board of Trustees questions, suggestions, and draft decisions; 3) to receive information to any issue concerning activities of the University; 4) to receive reimbursement of incurred expenses conditioned by implementation of his/her duties.

  1. Members of the Board of Trustees shall have the duties:

1) to attend meetings of the Board of Trustees; 2) to act in favor of  the University during performing their duties.

  1. The Board of Trustees shall have the following rights:

1) to approve the order of its business; 2) to define types of entrepreneurial activity of the University (including personal); 3) to approve the decision on the budget of the University and its changes, annual financial statements and annual report on the University activities and annual balance; 4) to make decision on establishment of business companies or participation  in such companies as well as creation of isolated subdivisions and institutions and approve their by-laws; 5) to supervise activities of the University, including financial activity, appoint an Auditor to audit financial statements; 6) to approve the report on implementation of educational, scientific-topical projects and participation in large research programmes, projects and in other formats of cooperation and the results; 7) to make decisions on early termination of  powers of  members of the Board of Trustees; 8) to make decisions on organization of elections of  the Chairman of the Board of Trustees, Rector, and other bodies defined by these Statutes and suspension their powers before the expiration of office term; 9) to form other bodies foreseen by this Statutes; 10) to hear the Rector’s annual report, 11) to suspend or find invalid Rector’s orders, instructions, and directions which contradict legislation of the Republic of Nagorno-Karabakh; 12) to take control over implementation of its  decisions; 13) to make decision on taking the matter of the University liquidation to court; 14) to appoint the University  liquidation committee, set a procedure and terms of liquidation, approve liquidation intermediate balance and liquidation balance; 15) to approve structure of the University; 16) to approve the staff list of the University; 17) to approve submission to the founder on making amendments and additions to the Statutes of the University,  alteration of the Statutes and the new revised Statutes; 18) to approve the order of ownership of the University property; 19) to exercise powers specified by Law and these Statutes, as well as powers of other bodies of the Foundation not prescribed by Law.

  1. Matters related to the power of the Board of Trustees can not be vested in another body.
  2. The Board of Trustees shall have the right to access to all documents of the University.
  3. The Board of Trustees transacts business through meetings. Meetings of the Board of Trustees shall be called by the Chairman of the Board of Trustees at least once a year. Meetings of the Board of Trustees shall also be called and held by the Chairman of the Board of Trustees if requested in writing by at least one third of the members of the Board of Trustees within 30 days after the request was submitted. Meetings of the Board of Trustees can be carried out by electronic mail or other means of communications as well as by asking questions. Resolutions passed at the Board of Trustees’ meetings shall be approved in accordance with the procedure prescribed by Law. A meeting of the Board of Trustees shall be empowered to transact business if there is a quorum. More than one-half of the total actual membership shall constitute a  quorum. Each member of the Board of Trustees shall be entitled to one (1) vote. If at the meeting of the Board of Trustees any matter related to a member of  the Board of Trustees or his/her  personal property or other interests then that member shall not take part in voting.
  4. The Chairman of the Board of Trustees shall have the following powers:

1) to organize of the Board of Trustees work ( in case of need to establish interim committees  of the Board of Trustees), to exercise supervision (verify, inspect) over financial activities of the University foreseen by these Statutes, and carry out preliminary discussions of matters provided for under Statute 33. 3), 4), 17), 18) to  submit conclusions (certificates) to the Board of Trustees; 2) to call meetings of the Board of Trustees and preside at meetings; 3) ) to organize keeping the minutes of all meetings of the Board of Trustees; 4) to submit a draft resolution on suspension of powers of members of the Board of Trustees to be discussed at the Board of Trustees in cases foreseen by legislation and these Statutes; 5) to negotiate a labour contract with the Rector on behalf  of the University.

  1. In the absence of the Chairman of the Board of Trustees his/her functions by decision of the Board of Trustees shall perform one of the members of the Board of Trustees.
  2. The Rector of the University shall direct current activities of the University. The Rector shall organize implementation of the Board of Trustees’ resolutions.
  3. Powers and responsibilities of the Rector shall be prescribed by Law, these Statutes, and his labour contract.
  4. The Rector of the University shall have the following powers:

1) to administer the property (including funds) of the University,  enter into any contract on behalf of the University; 2) to represent the University in the Republic of Nagorno-Karabakh and abroad; 3)  to speak in public on behalf of the University without certificate; 4) to grant certificates; 5) to appoint and release pro-rectors and  sign their labour agreements; 6) to form advisory bodies at the Rector, and determine their composition and powers; 7) to make contracts amounting to  20.000.000 Armenian Drams or equivalent to its foreign currency. Contracts exceeding the above amount shall be subject to approval by the Board of Trustees; 8) to implement executor-instructor functions; 9) to open in banks settlement accounts (including foreign currency) and other accounts; 10) to follow everyday work designed to implementation of the Board of Trustees’ resolutions; 11) to submit to the Board of Trustees for approval the working regulation of the University, By-laws of individual subdivisions, institutions and business companies established by the University, administrative structure and staff list of the University; 12) to employ, release the staff of the University including heads of subdivisions, institutions and employees therein of the University, and to make respective labour  contracts in prescribed order. 13) to issue orders and instructions within the framework of his/her powers, to give directives mandatory for implementation and carry out control over them; 14) to apply encouragement and disciplinary measures over employees; 15) to submit an annual  report on activities of the University to the Board of Trustees.

  1. Every adult competent citizen having academic degree of Doctor of Science or Ph.D and/or academic rank of Professor or Docent shall be eligible to be elected as Rector of the University.
  2. The Rector shall be elected by secret ballot at the meeting of the Board of Trustees for a five-year term of office.
  3. The same person may not be elected for the office of the Rector for more than two consecutive terms.
  4. A person may not be elected as Rector if:

1) he/she was convicted for a crime, whose previous conviction has not been expunged by pardon or quitted in order established by Law; 2)  his/her right to hold an executive positions is deprived by Law; 3) he/she in the last three years has been holding  executive position of a declared bankrupt and liquidated  organization which failed to satisfy legal demands of  money-lenders;

  1. Powers of a person elected as a Rector shall be terminated by the Board of Trustees if:

1) he/she resigns from office by writing addressed to the Board of Trustees; 2) by his written consent was elected or appointed to another position or if he changed his job which is not compatible with his current position; 3) more than four months he/she continuously did not report for work  due to temporary disability; 4) on the basis of a court decision carried into effect he/she is found legally incapable, limited incompetent, absentee for a long time  without presenting any notice, or dead; 5) occurred one of circumstances foreseen by 45 Clause of these Statutes.

  1. Rector’s office of the University is an advisory body at the Rector. In a period between meetings of the Academic Council of the University the Rector’s office under its Regulations, within the power vested in the office shall discuss matters related to all spheres of the University activities. Rector’s office shall consist of the following persons: the Rector, Pro-Rectors, the Chief of staff, Head of Education Department, the Accountant General, the Chairman of the Trade Union, Directors of Branches, Institutions, and Centres,  Deans of Faculties, as well as appointed by he Rector University teachers, employees, representatives of the Students Council.

VII. THE ACADEMIC COUNCIL OF THE UNIVERSITY

  1. The Academic Council of the University (hereinafter referred to as Academic Council) shall be formed in accordance with these Statutes and shall be a collegial body planning, coordinating, and regulating educational-methodological, scientific, research and scientific-technological activities.
  2. Ex-officio members of the Academic Council shall be the Rector (chairman), Pro-rectors, Academic Secretary, Head of Еducational-and-methodological Department, Chief of Staff, the Accountant General, Directors of branches and centres, Deans of Faculties, the Chairman of the Trade Union, the Chairman of the Students’ Council, as well as members appointed by the Rector – heads of other structural subdivisions, some lecturers and scientific workers, leading researchers, representatives of the University students. The number of ex-officio and appointed members shall not exceed 50 per cent of the total membership of the Academic Council’s.
  3. Other members of the Academic Council shall be elected from respective structural subdivisions by proportions and order prescribed in the Regulations of the Academic Council.
  4. The meeting of the Academic Council shall be empowered to transact any business if the quorum constitutes 2/3 of the total actual membership of the Academic Council. Decisions shall be made by simple majority and open vote, if no decision shall be made for secret vote.
  5. The Academic Secretary shall be appointed by the Rector’s order.
  6. Meetings of the Academic Council shall be held, as a rule, each month of the academic year. Extraordinary meetings may be called in accordance with established order.
  7. The Academic Council of the University shall:

1) approve its regulation and work procedures; 2) discuss  and submit  to the Rector and the Board of Trustees  suggestions on principal directions, subject-matters, and  programmes of education and  research,  preparation of researchers, international educational and scientific cooperation issues and programmes; 3) discuss  and submit  suggestions on establishing new subdivisions,  approve  regulations of structural subdivisions  except subdivisions specified in Statute 33(4); 4) discuss and makes recommendations on publication of monographs, proceedings, etc of ; 5) discuss topical issues of education and science development, hear scientific reports and make respective decisions; 6) discuss principal and perspective directions of educational and scientific activities, hear reports on results attained by implementation of most important research and scientific-and-methodological work; 7) make decisions on implementation of new specialities’ educational programmes and submit them to the state governing authorized body of education, approve curricula for specialities; 8) establish and award  Honorary degrees of doctor and professor of the University,  Honoured professor of the University, Honoured scientific worker of the University, establish prizes, nominate grants, and medals of the University;  discuss and approve election procedures for deans, head of chairs and teaching staff;  organize secret ballot elections for filling vacant offices of deans, heads of chairs, professors, and docents. 9) carry out other authorities, set by these Statutes, related to educational, methodological, research and organizational activities.

VIII. AMENDMENTS TO THE STATUTES

  1. Amendments to the Statutes may be done by initiative of the Founder of the University or suggestion of the Board of Trustees of the University as prescribed by Law. The amendments in these Statutes may not pertain to the goals of the University or to stakeholders.

IX. ACTIVITIES OF THE UNIVERSITY

56. The University shall independently plan its activities, develop advancement perspectives and take decisions on its activities.

57. The University its relations with other physical persons and legal entities shall implement on contractual base.

58. The University independently shall choose subjects and terms of agreement it negotiates and signs.

59. The University in implementing its statutory activities shall have the right by its own initiative to take any decision not contradicting the legislation of the Republic of Nagorno-Karabakh.

60. The University shall carry out entrepreneurial activity only in case when it corresponds and/or serves to achieve its statutory objectives. The University may carry out entrepreneurial independent activity or to that end establish business companies or be participant therein. Kinds of entrepreneurial activity carried out by the University shall be defined by the decision of the Board of Trustees of the University.

61. The University shall have as ownership a separated property and against its liabilities shall be responsible by that property.

62. The property allocated by the Founder as its investment assets to the University, shall be the University ownership, the University that property shall use in accordance with the procedure defined by its Statutes if other decision was not madeby the Founder.

63. Property that the University acquired by its own funds and by other sources prescribed by law shall be ownership of the University. The University shall use that property as defined by its Statutes.

64. Property, including stocks, funds, securities and intellectual property rights as property investment voluntarily made by other citizens and organizations shall be ownership of the University.

65. Transactions exceeding 20 percent of the University total assets allocated for use shall be conducted having the consent of the Government of the Republic of Nagorno-Karabakh.

66. The ownership of the University cannot be used in favour of members of the University bodies, as well as employees of the University except salary of employees and expenses subject to reimbursement conditioned by carrying out duties of members of the University bodies as well as those cases when the Founder of the University, members of the University bodies and employees of the University are stakeholders foreseen by these Statutes.

67. Raised funds shall be spent only for the purpose stated in advance.

X. ORGANIZATION AND FINANCING OF TEACHING AND

SCIENTIFIC RESEARCH PROCESS AT THE UNIVERSITY

  1. Higher professional education shall be carried out at the University offering undergraduate and graduate educational programs. post-graduate professional education, and research programmes. The University shall implement also preschool, secondary (high school), preprofessional (vocational) as well as additionl educational programs.
  2. Basic educational programmes of higher and postgraduate education at the University shall be implemented through stationary, correspondence, distant, extramural and extern modes of instruction. Development of combination of different instruction modes for receiving higher and postgraduate education shall be permitted.
  3. Admission to the undergraduate level of the University shall be conducted upon applications of persons having at least secondary (full) general education, upon the competitive principles according to the procedure and list of specialities defined by legislation of the Republic of Nagorno-Karabakh.
  4. Information on the University necessary for applicants including respective contract forms to be signed with the student shall be posted on the official site of the University.
  5. Admission to the University graduate level shall be conducted taking into consideration the applicant’s marks received during studying in the undergraduate level by procedure approve by the Academic Council.
  6. Admission to the University postgraduate level shall be conducted on the basis of the results of competitive admission examinations taken by the graduate or certified specialist – in accordance with the procedure and the list of specialities defined by the legislation of the Republic of Nagorno-Karabakh.
  7. Preparation of scientific manpower may also be carried out on the basis of extramural mode.
  8. In case preparation of a thesis for acquiring a Ph.D scientific degree programmes designed for the third level of higher education is a must. Maximum five-year term period is allocated to extramural students for preparing  thesis,  taking qualification examines and complete the thesis. Persons completed full term of being extramural student shall have not the right second time to be accepted as an extramural student of the same speciality.
  9. The period of preparing doctoral dissertation scientific effort of extramural students shall not be in any way limited. А person working for a scientific degree of Doctor of Science  may also     prepare the thesis in the doctoral school. Papers concerning the latter shall be drawn up in accordance with procedure defined by the legislation of the Republic of Nagorno-Karabakh.
  10. Scientific degrees at the University are granted by specialized councils on the basis of the defence of the thesis. Specialized councils shall be established and function in accordance with the the legislation of the Republic of Nagorno-Karabakh and procedure prescribed by the authorized body.
  11. Teaching on secondary education programmes at the University shall be organized by the University subdivisions (high schools) implementing general education programmes.
  12. Teaching on middle level vocational programmes at the University shall be organized by subdivisions (colleges) acting within the University and carrying out middle professional educational programmes.
  13. Learners of the University taking higher and middle level professional courses will be given student card and test book.
  14. Teaching of foreign citizens and persons without citizenship shall be implemented on a chargeable basis according to the procedure prescribed by the Republic of Nagorno-Karabakh.
  15. Learning process at the University shall be organized in two semesters in each academic year. Each semester shall end by examination session. For each educational programme standard duration of educational process, the beginning and end of the academic year shall be determined in accordance with state educational standards.
  16. The following basic teaching activities shall be defined at the University: lecture, seminar, practical work, laboratory work, consultation, educational and field practice, independent work of the student, as well as acquiring practical skills at educational-experimental facilities.
  17. The content and directivity of teaching shall differ according to study specialities, the list of which for each basic educational programme shall be approved by the Government of the Republic of Nagorno-Karabakh.
  18. Organization of teaching process for each speciality shall be regulated by curriculum which prescribes distribution of the contents of the respective educational programme in accordance with teaching years, courses and subject matters.
  19. Curricula and courses of specialities and specializations offered by the University shall recommend learning process for learners in different educational stages (input into educational programme and output from educational programme) providing academic credits accumulation, transfer and granting of qualification degrees.
  20. The University in accordance with state educational standards shall form curricula which shall be approved by the Academic Council and submitted to the authorized body.
  21. Subject matters (courses) according to their importance shall be classified in two groups – mandatory courses and selected ones.
  22. The aim, content, logical sequence, interconnection, recommended literature, distribution of amount of hours allocated by syllabi in accordance with the instruction forms and examination requirements shall be defined by course programmes which by submission of a respective chair shall be approved by the Vice-rector on academic affairs.
  23. All subjects foreseen by a curriculum shall be subject to evaluation based on procedure approved by the Academic Council.
  24. Students of the University who successfully fulfilled requirements of the curriculum shall be permitted to participate final state certification carrying out on the basis of diploma (final) work including defence of a master’s degree thesis. A diploma work can be performed by a creative teamwork. The procedure of establishing of such teams, their diploma work performance, defence and assessment shall be approved by the Academic Council.
  25. The right of defending a diploma (final) work, including master’s thesis shall be vested in persons studying respective curriculum, who studied in full volume and passed certification foreseen by speciality (specialization) curriculum of all subjects and required practical training.
  26. Persons who completed learning on higher and postgraduate professional educational programmes and passed the final state certification shall be, by a defined procedure, awarded and handed a final document (diploma) confirming the respective qualification degree and the relevant Supplement.
  27. In the Graduate Supplement shall be indicated qualification, speciality (specialization), curricula, and study courses. The standard form of the Graduate Supplement shall be defined by the legislation of the Republic of Nagorno-Karabakh.
  28. Persons not having completed the educational programme shall be given academic certificate of approved sample.
  29. Persons having completed educational program of additional professional education and passed the final attestation shall be awarded the graduation document (certificate) of approved by the University sample.
  30. Transfer from one study level to another one shall be performed in accordance with the procedure prescribed by the legislation of the Republic of Nagorno-Karabakh.
  31. Receiving for the first time education upon higher professional educational programs of different levels will not be considered as receiving second higher professional education.
  32. The University shall organize and run conferences, exhibitions, seminars, workshops, meetings, symposiums, athletic games, championships.
  33. Planning, financing and submitting a report on research, design, experimental and other work implemented by the state budget of the Republic of Nagorno-Karabakh shall be performed as defined by the legislation of the Republic of Nagorno-Karabakh.
  34. Lecturers, scientific workers, postgraduate students, researchers, extramural students, students as well as other employees of the staff and other invited persons on contractual bases may participate in research, design, industrial, experimental work.
  35. To assure higher and postgraduate professional education quality the University shall organize internal and external assessment process, publish quality evaluation and/or accreditation standards, quality assurance and/or conclusions of accreditation performing organization. External evaluation process may also be carry out by a respective foreign agency.
  36. Teaching and research activities of the University shall be organized on the basis of the University progress requirements set out in the strategic plan of the University.
  37. Educational and scientific activities of the University shall be financed from the following sources:

1) the state budget of the Republic of Nagorno-Karabakh; 2) income from entrepreneurial activity of the University; 3) donations; 4) funds allocated by benevolent organizations; 5) means designed for entrepreneurial research; 6) other sources of funds not prohibited by the legislation of the Republic of Nagorno-Karabakh.

XI.THE STRUCTURE OF THE UNIVERSITY

105. The structure of the University shall be defined by the decision of the Board of Trustees.

106. Independent educational structural subdivisions of the University shall be institutions, Faculties, Centres, Chairs, Colleges, Schools, Bases, educational experimental businesses.

107. Regional branches shall be separated subdivisions of the University.

108. The institute of the University shall be a large structural subdivision organizing educational and methodological and/or research activities. The institute shall carry out its activities under the by-laws of the University and its regulations.

109. The Faculty of the University (branch, institute) shall be a basic subdivision organizing educational and methodological and scientific research activities. The Faculty shall carry out preparation of specialists in one or more than one adjacent specialities and/or learning of individual components of general education, and carry out its activities under the by-laws of the University and its regulations.

110. The Faculty shall be established, reorganized and liquidated by proposal of the Academic Council and decision of the Board of Trustees of the University.

111. The Faculty shall be composed of chairs, laboratories and teaching, research and auxiliary other units. Governing bodies of the Faculty shall be the Council and Dean of the Faculty.

112. The collegial governing body of the Faculty shall be the Council of the Faculty of which the chairman shall be the Dean. The Council shall be composed of Vice-deans, Chiefs of Faculty Chairs, head of the Faculty Trade Union, chairman of the Student’s Union, leading professors, docents, other specialist of the sphere, students. Students contingent in the Council shall be not less, than 25 percent of the total membership of the Council.

113. The Faculty Council, as an authority, composition, order of formation and activity shall be set up by the regulation of the Faculty.

114. The Faculty Council shall:

1) discuss the regulation of the Faculty  and submit to the Academic Council of the University for approval; 2) submit conclusion on candidates for participating in a competitive election to hold the Faculty Dean and Chiefs of chairs vacant offices; 3) submit proposals to the Academic Council on establishing, reorganizing and liquidating chairs (laboratories, divisions) and other structural subdivisions in the composition of the Faculty; 4) hear annual reports of the Dean and evaluate his/her activities; 5) submit curriculа of the Faculty for approval by the Academic Council; 6) elect the Faculty representatives in the composition of the Academic Council of the University; 7) solve other issues related to educational and methodological, scientific and research  activities of the Faculty base on these Statutes.

  1. Decisions of the Faculty Council shall be signed by the Dean of the Faculty. Minutes of all meetings shall be kept.
  2. The meeting of the Faculty Council shall be empowered to transact any business if the quorum constitutes 2/3 of the total actual membership of the Academic Council. Decisions shall be made by simple majority of members of the Council present at the meeting. Decisions of the Faculty Council shall be mandatory for the leadership, employees, students, postgraduate students, doctoral students and extramural students.
  3. . Organization and leadership of the Faculty activity in accordance with these Statutes shall within its powers exercise the Dean of the Faculty.
  4. The Dean of the Faculty shall be elected by the Academic Council of the University by secret ballot for a five-year term. On the basis of election results the Rector shall appoint the Dean for the office. The election of the Faculty Dean shall be organized and implemented by the Academic Council of the University in accordance with the approved regulation for the Faculty Dean election.
  5. The Dean of the Faculty shall:

1) be in charge of educational, research, industrial, international and other activity of the Faculty; 2) ensure implementation of the University Academic Council , the council of the Faculty and the Rector’s office decisions; 3) submit to the Rector’s approval nominees for the deputy dean(s) and secretary of the Faculty Council

  1. In the time period between sittings of the Faculty Academic Council current issues shall be discussed and solved at the Dean’s office Academic Council guided by the Dean.
  2. The Chair shall be teaching and research structural subdivision of the Faculty, acting according to these Statutes and regulations approved by the Academic Council
  3. . The Chair shall be headed by the Chief of Chair elected by a secret ballot for a  five-year term. The Rector on the results off elections shall appoint the elected candidate to the office. The election of the  Chief of Chair shall be organized and performed according to the regulation on election of the Chief of Chair approved by the Academic Council of the University.

XII. THE EMPLOYEES OF THE UNIVERSITY

  1. Rights and duties of the University employees shall be defined by the legislation of the Republic of Nagorno-Karabakh and these Statutes. In the University there shall be academic staff (professor, docent, assistant, senior lecturer, lecturer) and scientific workers, engineering, technical, administrative, industrial (regular, seasonal, temporary), supportive educational employees and employees of other ranks.
  2. Employees of the University shall have the following duties:

1) to elect and be elected in the Board of Trustees, Academic Council of the University, in councils of faculties and other bodies and positions of the University in accordance with the procedures defined by these Statutes of the University and regulations of educational subdivisions; 2) to unite into trade unions and other non-governmental organizations; 3) to use academic, scientific, research, social-and-living services of such subdivisions, and services research library.

  1. Teaching staff, scientific workers and students shall have academic freedom.
  2. For scientific-pedagogical staff, students, postgraduate students, doctoral students and extramural students favourable conditions shall be established for free description and dissemination of research and investigations, scientific thoughts, ideas and obtained results, within the allocated funds to achieve the set objectives.
  3. Employees shall have the following duties:

1) to maintain work and in-house discipline rules and other requirements of the University prescribed by the legislation of the Republic of Nagorno-Karabakh and these Statutes; 2) to follow decisions of the University leading bodies; 3) to ensure effectiveness of educational process and carried out research; 4) to permanently raise their professional qualification; 5) to protect and manage  the University property carefully and effectively; 6) to participate in counseling activities.

  1. Scientific-pedagogical employees shall have the right:

1) to be engaged in organizing their professional activity and acquiring of material facilities; 2) to choose and develop research topics by own initiative according to research academic freedom principles; 3) to freely define contents curriculum and syllabi according to state educational standards; 4) to freely choose, based on their individual preference, methods, methodology and facilities of teaching which shall provide high quality of the teaching process; 5) to combine research, pedagogical, and other kinds of jobs.

  1. Learners of the University are persons and high school students enrolled in the University for receiving professional, higher and postgraduate, as well as additional education.
  2. Graduate student of the University is a person who has four-year (undergraduate) or five-year (diploma specialist) higher education and who on the basis of a competitive order has enrolled the graduate school for at least one-year term learning.
  3. Postgraduate student of the University is a person who has higher professional education and won open competition, continues education in graduate school and prepares a thesis with the purpose of seeking a scientific degree of Candidate of Sciences.
  4. Doctoral student of the University is a person who has a scientific degree of Candidate of Sciences and has applied for preparing a thesis with the purpose of seeking a scientific degree of a Doctor of Sciences.
  5. Extramural student of the University is a person who has higher professional education and prepares a thesis with the purpose of seeking a scientific degree of a Candidate of Sciences without studying in the postgraduate studies and who is attached to the graduate school or a person who has a scientific degree of Candidate of Sciences and prepares a thesis with the purpose of seeking a scientific degree of a Doctor of Sciences.
  6. Listeners of the University are persons who through extramural mode of study in preparatory divisions as well as lecturers and scientific workers who take part in training and quality raising courses.
  7. Rights and duties of learners of the high school of the University and the middle professional education system (college) shall be specified by regulations of the high school and college according to legislation of the Republic of Nagorno-Karabakh.
  8. Students of the University shall have the following rights:

1) to receive knowledge on modern level of science, technology, and culture development; 2) to attend at any lecture delivered at the University; 3) to participate in students research activities according to preferences; 4) to participate in activities designed to ensure quality of education and assess efficiency of teaching staff activity; 5) to use the University library, laboratories, sport and recreational facilities, cultural-and-educative circles; 6) to combine basic professional learning with a second or additional professional learning and receive two professional qualification degrees according to a program approved by the state governing authorized body; 7) to create student NGOs to solve issues related to students life; 8) to be included in governing bodies of  the University and its subdivisions; 9) to appeal against orders and instructions issued by the leadership of  the University in accordance with  procedure  prescribed in legislation of the Republic of Nagorno-Karabakh; 10) to enjoy the right of partial or total compensation of educational fee in accordance with legislation of the Republic of Nagorno-Karabakh. To receive  scholarship, grant, as well as student loan  assigned by legal entities or physical persons in accordance with the defined procedure; 11) to be acquainted with the present Statutes and normative documents; 12) to receive, in case of need, up to one-year academic leave  in accordance with the procedure established by legislation; 13) to receive, if needed, hostel accommodation in accordance with the established procedure.

  1. Students of the University shall have the following duties:

1) to fulfill in the set time all study assignments; 2)  to possess knowledge and skills necessary for a future specialist of high qualification; 3) to observe the internal discipline rules; 4) to attend all classes foreseen by the curriculum; 5) to pay education fee in due time in case education is chargeable.

  1. Students of the University who do not fulfill scheduled assignments foreseen by curriculum and show unsatisfactory academic progress, violates public order and in-house disciplinary rules, in case of chargeable education not paying education fees may be subject to disciplinary measures or even excluded from the University. It is prohibited to expel the student upon the ground of illness, during vacations, academic vacation or pregnancy and maternity leave.
  2. Learners at a higher educational institution may unite in students councils, student scientific societies and other students organizations.
  3. The Students’ Union shall be the self-governing body of students of the University and represent interests of students. It shall provide participation of students in respective governing bodies of the University, submit students matters to discussion. The manner of the Students’ Union formation and its functioning shall be established by the Regulation of the Students’ Union approved by the Academic Council of the University .
  4. Young scientists and specialists society may be founded in the University involving in student scientific organization. The Regulation of formation and activity of the young scientists and specialists society shall be approved by the Academic Council of the University.

XIII. CONTROL OVER ACTIVITIES AND PUBLICITY OF THE UNIVERSITY

  1. Control over activities of the University shall carry out authorized state bodies.
  2. Control over implementation by the University requirements prescribed by the Law on Foundations of the Republic of Nagorno-Karabakh shall carry out the Ministry of Justice of the Republic of Nagorno-Karabakh and also in case defined by the law other authorized state bodies according to their powers, according to checkup and examination procedures foreseen by the law. Financial activities of the University is checked by an independent Auditor at least once in each year. After demand of  one-third of the total membership of the Board of Trustees an extraordinary annual audit may be performed. An independent auditor shall be elected and approved by the Board of Trustees of the University  on the basis of the contest.
  3. Not late than 25th day of March of each year following the accounting year the University shall be obliged to publish:

1) a report on its activities. The report shall contain information on implemented programmes, sources of funds, total amount of used means in the accounting fiscal year, names of the members of the Board of Trustees, the Rector and the University staff members  if in the accounting year they used the University funds and services; 2) the conclusion drawn up by the Auditor on the financial statements.

XIV. REORGANIZACIQ AND LIQUIDATION OF THE UNIVERSITY

  1. The Foundation may be reorganized only by joining or merging with another foundation.
  2. The University shall be reorganized by decision of the Founder’s order in accordance with procedure  defined by law.
  3. Liquidation of the University is discontinuing of its activities without conveying its powers and responsibilities to another persons on the basis of assignment.
  4. Decision on liquidation of the University may take only the court on the basis of an application from interested persons. As an interested person may act the Board of Trustees in the name of the University.
  5. The University may be liquidated , if:

1) the property of the University is not enough to fulfill its activities, and possibility of acquiring necessary property is not realistic; 2) the University has been deviated from goals foreseen by  its Statutes; 3) it is impossible to attain the objectives of the University and to change the approved objectives; 4) the activity of the University endangers the state and public security, breaks peace, health and habits of society, others’ rights and freedoms; 5) the University rudely and repeatedly violated of Law or periodically carried out activity contrary to its statutory objectives; 6) the Founder while establishing the University made crude violation of Law and falsifications.

  1. The University may also be liquidated in other cases foreseen by legislation of the Republic of Nagorno-Karabakh.
  2. The University shall be liquidated by an order prescribed by Law.
  3. After creditors’ demands have been met, as well as in case when at the moment of approving the liquidation interim balance the University has no liabilities to creditors, the property is directed to purposes foreseen by the Statutes of the University, in case it is impossible the property shall be conveyed to the state budget of the Republic of Nagorno-Karabakh.
